COOPERATION AGREEMENT
WHEREAS, the nature and purposes of the Continental Divide National Scenic Trail (CDNST) are to provide for high-quality scenic, primitive hiking and horseback riding opportunities and to conserve natural, historic, and cultural resources along the CDNST corridor; and
WHEREAS, the Continental Divide Trail Society (Society) and the Continental Divide Trail Coalition (Coalition) have been dedicated to the planning, development, and management of the CDNST in accordance with such nature and purposes; and
WHEREAS, the Society and Coalition have been working independently and diligently to foster such planning, development, and management; and
WHEREAS, the Society and the Coalition believe that the adoption of principles of cooperation between their respective organizations will enable them to be more effective in achieving these goals;
NOW, THEREFORE:
The SOCIETY and the COALITION agree to the following terms and conditions:
I. Current Provisions
· The SOCIETY will publish a final issue of its newsletter DIVIDEnds this summer.
· Members of the SOCIETY as of the date of that publication will continue to be members as long as they desire, without charge. The SOCIETY may also continue to enroll new members, without charge, after said date. The SOCIETY may contact its members annually, by e-mail, to invite donations.
· As of the date of that publication, the COALITION will enroll members of the Society as members of the Coalition, with such individuals to receive and enjoy the privileges of Coalition membership, without charge, for the remaining duration of their Society membership. (To facilitate this action, the SOCIETY will provide an Access database with names, addresses, membership duration, and e-mail contact.)
· The SOCIETY will continue to participate in agency planning activities.
· The SOCIETY will continue to sell guidebooks and maps.
· The SOCIETY will retain its website, modified to reflect the changes described above.
· The SOCIETY and COALITION will take reasonable steps to keep one another informed with respect to their current activities involving the planning, development, and management of the CDNST.
II. Future Provisions
[The SOCIETY is organized as a sole proprietorship. James R. Wolf is the Owner.]
· At such time as Owner no longer desires, or is no longer able, to continue his activities with the SOCIETY, Owner will transfer rights to the SOCIETY name and trademark to the COALITION.
· Guidebook and map inventory would be transferred to the COALITION (if desired) without charge except for shipping costs. The COALITION could also continue the SOCIETY website as it deems appropriate.
o The COALITION would also receive a nonexclusive royalty-free license to use Owner/Society copyrights for guidebooks and newsletters for so long as they remain available from the COALITION in printed or digital form.
o SOCIETY archives would be transferred to a suitable repository, with the Coalition to have access and copy privileges to their contents (except, perhaps, for items of a personal nature). The COALITION should have an option to take possession of any materials that the selected repository intends to deaccession.
o Copies of selected SOCIETY digital files (e.g. folders currently identified as “CDTS Planning” and “Hiker Information”) would be provided to the COALITION).
